You acknowledge that you may obtain direct access via this Site to certain confidential information of NEC APAC including but not limited to technical, contractual, pricing, marketing and other valuable information ("Information"). You must hold the Information in strict confidence and may only provide the Information to employees in your organisation only on a need-to-know basis. You may use the Information from this Site solely for the purpose of selling, maintaining and supporting the products and equipment of our business units. Title to the Information remains with NEC APAC. You agree, either as an individual or on behalf of your employer to be bound by these provisions. Further, if you are acting on behalf of your employer, your employer agrees to indemnify NEC APAC for violations of this Section.

  1. You will not be liable for disclosure if such Information:
(i)becomes publicly available through no disclosure by you;
(ii)is known to you prior to disclosure without breach of any confidentiality obligations;
(iii)was independently developed by you through no use of the Information;
(iv)is/was disclosed to you by another third party without any restriction;
(v)is/was disclosed pursuant to a court order.

Your obligations regarding the Information shall expire five (5) years after the date of disclosure. Upon termination of the aforesaid term or at NEC APAC’s request, you must cease use of Information and return or destroy all Information.

PRIVACY

Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. INDEMNITY

You agree that you shall indemnify NEC APAC and its parent company, subsidiary and affiliates, employees, agents, co-branders from and against all actions, claims, suits, demands, damages, liabilities, costs or expenses arising out of or in any way connected to the use of this Site by you or someone using your name or password.

MODIFICATION OF THESE TERMS OF USE

NEC APAC reserves the right to modify and change the terms and conditions of this Terms of Use at any time and from time to time. You are responsible for regularly reviewing these terms and conditions and agree that your continued use of this Site and NEC APAC’s services after any such changes or modification shall constitute your consent to such changes or modification. SOFTWARE AVAILABLE ON THE WEBSITE

Software that is made available to download from the Site is the copyrighted work of NEC APAC. Your use of the software is governed by the terms of the license agreement, if any which accompanies or is included with the software ('License Agreement"). You may not install or use any software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms. For any software not accompanied by a license agreement, NEC APAC grants to you, the user, a non-exclusive, non-transferable and limited license to use the software for viewing and otherwise using this Site and service in accordance with these Terms of Use and for no other purpose provided that you keep intact all copyright and other proprietary notices.

All software is owned by NEC APAC and is protected by copyright laws and international treaty provisions. Any copying, reproduction or redistribution of the software is expressly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENCE AGREMENT. You acknowledge that the software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations, including without limitation the export laws and regulations of Japan and Singapore. Furthermore, NEC APAC and its parent, subsidiaries and affiliates are free to use any ideas, concepts, know-how, or techniques contained in any communication you send to this Site for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products using such information. No compensation will be paid with respect to NEC APAC and its parents, subsidiaries or affiliate’s use of the materials contained within such feedback or suggestions.

NEC APAC may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) NEC APAC’s rights or property, or the rights or property of visitors to or users of the Site, including NEC APAC’s customers. Severity

Governing Law

This Terms of Use will be governed and construed in accordance with the laws of Singapore. Use of this Site is unauthorised in any jurisdiction that does not give full effect to all provisions of this Terms of Use, including without limitation to this paragraph and liability exclusions above.
